which stern drive will fit?

I am in need of a new stern drive. Looking to replace entire unit. Engine is a rebuilt 69 mercruiser 3.0 liter 140.

I do not believe the stern drive i am replacing is original as it is marked with the 228 and has tilt and trim cylinders. will the 106 replace?
